Section 1; Name and Object: 1. The Society shall be called "The Oxford University Invariant Society". 2. The Society shall have for its object, the promotion of interest in all branches of Mathematics amongst members of Oxford University. Section 2; Membership; 3. There shall be two classes of membership, Ordinary and Associate. 4. Ordinary members shall be matriculated resident members of Oxford University, studying for a degree or other qualification. They may join for a single meeting, a single year, or life. Life membership is defined as being for such time as the person meets the requirements to be an Ordinary member. An appropriate fee shall be set for each length of membership, by the Senior Committee. Ordinary members may vote on any motions brought forward at a meeting. 5. Associate members are not members of the University. They may attend meetings, but may not stand for positions on the Senior Committee, nor vote at Society meetings. The Senior Committee may set a fee for associate members. There may be no more Associate members than one quarter the number of Ordinary members. An Ordinary member with life membership may become an Associate member without charge when their membership of the University expires. Associate membership must be renewed yearly. 6. A person is considered to have become a member when payment is received by a member of the Senior Committee. The Society reserves the right to refuse to accept payment, and thus membership, as the Committee sees fit. 7. A person may not be considered a member, unless a subscription that covers the period has been received. 8. A person may not attend a meeting, vote at a meeting, nor stand as a candidate for a Committee post, unless they are a member of the society. 9. Members shall not in any way bring the Society or the University into disrepute. 10. Persons wishing to attend a meeting, but not become Associate members, may be admitted at the discretion of the Committee. Such persons may not vote or stand for Committee posts. 11. If a member is deemed by the Committee and the Senior Member to have infringed the rules of the Society, or any laws or regulations that cover the Society, their membership may be revoked, forfeiting their fees or any benefits gained from their membership. Section 3; The Committee: 12. The Society shall be represented by, and the management of its affairs vested in, the Senior Member and Committee of the Society. No person shall be a member of the committee unless he is a member of the Society in good standing.The offices of the Senior Member and other Committee posts are honorary, such that no gain should be expected from being elected or appointed to a position. 13. Throughout this document, including any preceding sections, the terms "the Committee", "the Senior Committee" and, "the Junior Committee" may be used. The Committee shall consist of all members of the Society, who have been elected to positions of responsibility in the Society. The Senior Committee shall consist of; the President, the Secretary, and the Treasurer. The Junior Committee shall consist of all members belonging to the Committee, who do not also belong to the Senior Committee. 14. The Senior Member shall be a member of the Congregation of the University of Oxford. He shall be a Ordinary member of the Society without charge. His aim shall be the safeguarding the interests of the Society in all matters, including financial. The Senior Member shall be appointed by the Committee. The Senior Member shall have a veto over any decisions made by the Society. If interpretation of the Constitution or other Rules of the Society is required, responsibility shall fall to the Senior Member. 15. Members of the Committee shall be elected by the Society at the AGM. Their term of Office shall be one year, starting at the end of the term in which the AGM is held. A member must be elected with their consent. A member may not propose or second himself. A member may only propose one person OR second one person for each position. The election shall be administered by the members of the retiring Committee, excepting any member who may be standing for a post in the new Committee. 16. The Senior Committee shall consist only of Ordinary members. There must be one, and only one person in each position. A person with a Senior Committee post may not hold another position within the Society. They must remain Ordinary members for the entirety of their term of office. They must be elected by a democratic process, as outlined in the section on voting. 17. The President is the leading representative of the Society. In the absence of the Senior Member, the President shall chair meetings and have the casting vote. The President is responsible for looking after guests of the Society, and introducing guests to other members. 18. The Secretary shall be responsible for keeping all non-financial records of the Society. He is responsible for these records being safe from damage of any kind, and ensuring they are passed safely to the next Secretary. The Secretary is obliged to keep the membership list up-to-date. He shall make available the number of Ordinary and/or Associate members within one week of a request for this information. 19. The Treasurer shall be responsible for the Society's financial affairs, including preparation of accounts. The accounts shall be available for inspection by any member of the Society, within a reasonable timeframe. The records must be kept safe from damage, and given to the next Treasurer upon completion of the term of office. The Treasurer shall keep a list of assets of the Society. 20. Should a member of the Senior Committee resign for any reason before their term of office has been completed, the procedures for an EGM shall come into immediate effect, unless a TGM occurs within the period that an EGM would be held. At the general meeting, an election shall be held to appoint an Ordinary member to fill the position for the remainder of the term of office. 21. The Junior Committee may be formed by one or more of the following positions; Social Secretary, Who shall be responsible for organising social events, and any social requirements at other meetings. Publicity Secretary, Who shall be responsible for advertising and promoting events of the Society. Magazine Editor, Who shall be responsible for editing and publishing issues of the Invariant magazine. Computer Officer. Who shall be responsible for all computing matters of the society, including web sites, mailing lists and email. 22. Should there not be a Committee member from one of the following groups, an additional Committee post shall be filled with a suitable representative; Men, Women, Graduates. 23. Should any specified position on the Junior Committee not be filled, their portfolio may be distributed amongst other Committee members, until such time as the position is filled. Likewise, the Committee may create positions to aid the smooth running of the Society. 24. Should a member of the Junior Committee be forced to resign before the end of their term of office has been completed, a member may be co-opted to the position for the rest of the term of office, or elections may be held to fill the position for the rest of the term of office. 25. A Committee member may be removed from the Committee at any time with the written consent of the Senior Member, and the unanimous agreement of the other members of the Committee. Section 4; Meetings: 26. A notification of events planned by the Committee that term must be issued to members in a timely manner. 27. One of the meetings in both Michaelmas and Trinity terms shall be designated a Termly General Meeting. One of the meetings in Hilary shall be designated the Annual General Meeting. 28. At both TGM's and AGM's, the Society's accounts shall be presented for approval by the Treasurer. Notice of issues contained in a General meeting should be presented to members no later than a week beforehand. 29. There shall also be provision for meetings when exceptional events occur, these shall be termed Emergency General Meetings. 30. The resignation of a Senior Committee member automatically invokes an EGM. An EGM may also be called by the Committee independently, upon a unanimous vote by the Committee, or upon receipt of a petition signed by 15 members, or 15% of the Ordinary membership (whichever is higher), and the Senior Member. 31. Notice of an EGM should be sent to all members of the Society. The EGM shall take place no sooner than one week after conditions for an EGM are met, and no later than three weeks after the conditions have been met. 32. Associate members may attend and speak at General Meetings, however they are not entitled to vote. Section 5; Voting: 33. All votes by the Society shall be taken with a quorum of 10 Ordinary members or 10% of the Ordinary membership (whichever is higher). A motion must be proposed and seconded. A motion may only be passed if a majority of those who vote agree. Votes shall be taken by show of hands, unless at least three members request a secret ballot. 34. Constitutional change may only be made at a General meeting. At least one third of the Ordinary membership must attend, and the amendment must have at least a two-thirds majority for the change to be valid. Both the Senior Member and the Proctors may veto any changes proposed by the Ordinary membership of the Society. Section 6; Dissolution of the Society: 35. In the event that a Senior Committee cannot be formed, or the Society faces severe financial difficulties, an EGM shall be called to act on the situation. 36. If a solution is not found, the Society shall be dissolved, and the relevant authorities informed. 37. Any assets the Society possess should first be used to minimise financial liability, then distributed amongst the membership in a fair manner decided by the Society at the EGM. Section 7; Miscellaneous; 38. The Society is bound by the Rules and Regulations of the University, and the Laws of England. Any part of the Constitution that conflicts with these shall be considered void. 39. A copy of the Society's documents shall be sent to authorities that require them. A copy shall be kept in the Society's Archive. 40. In all previous sections, references to the male gender shall be considered to refer equally to the female gender. Version: 1.2jt
